Terms of Service

1. Agreement to these terms

Gridzy is operated by Gridzy LLC, an Arizona limited liability company. By using gridzy.io or the Gridzy service, you agree to these terms. If you do not agree, please do not use Gridzy.

2. What Gridzy is

Gridzy is a coordination tool. It gives a host a grid, a link to share, live claiming, and live scoring for a game a group is already watching together. Gridzy is software that helps a group organize and follow its own board.

Gridzy is not a participant in, an organizer of, or a party to whatever arrangement a host and their group make among themselves. What happens on a board is between the host and the people they invite.

3. Who may use Gridzy

You must be at least 18 years old to use Gridzy, whether you are hosting a board or claiming a square on one. You must also meet any higher minimum age that applies where you live, and you must have the legal capacity to agree to these terms. Gridzy is not available to anyone under 18.

You are responsible for making sure your own use of Gridzy complies with the laws and rules that apply to you, including those of the state, country, and organization you are in. Laws differ from place to place, and we cannot tell you what applies to you.

4. Host accounts

Hosting a board requires an account. You sign in with your email address by clicking a one time link we send you, so the security of your account depends on the security of your email. Keep access to that inbox under your control, and tell us at admin@gridzy.io if you think someone else has used your account.

You are responsible for the boards you create and for the activity that happens on them.

5. Board links are public

Every board has a link, and anyone who has that link can open the board. Treat a board link as public. Share it only with the people you want on the board, and understand that anyone they forward it to can also see it.

6. Acceptable use

When you use Gridzy, you agree not to:

• Use Gridzy for any unlawful purpose, or in a way that violates the laws that apply to you.
• Harass, threaten, defame, or abuse anyone, or post content that does.
• Impersonate another person or misrepresent who you are.
• Claim squares on a board you were not invited to, or interfere with someone else's board.
• Use bots, scrapers, or other automated means to access Gridzy, or attempt to access boards, accounts, or data you were not given access to.
• Probe, scan, overload, or attempt to break the security or integrity of the service.
• Copy, resell, sublicense, or redistribute the service, or use it for commercial purposes, without our prior written permission.
• Remove or obscure any notice or branding in the service.

7. Content you submit

You keep ownership of the content you enter, such as board names and display names. You give us permission to store, copy, and display that content only as needed to run the service, including showing it to the other people on the board. That permission ends when the content is deleted.

You are responsible for what you submit, and you confirm you have the right to submit it. We may remove content that violates these terms.

8. Availability and changes

We are still building Gridzy. We may add, change, or remove features, and we may suspend or discontinue the service or any board at any time. We do not promise any level of uptime, and we may perform maintenance that makes the service unavailable. Where we can give notice of a significant change, we will.

9. Suspension and termination

We may suspend or terminate your access if you violate these terms, if your use puts the service or other users at risk, or if we are required to by law. You may stop using Gridzy at any time and ask us to delete your information as described in our Privacy Policy.

10. Third party services

Gridzy runs on infrastructure provided by other companies, and a board may contain links that take you elsewhere. We are not responsible for third party services or for anything on a site we do not operate.

11. No warranty

Gridzy is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non infringement. We do not warrant that the service will be uninterrupted, timely, secure, error free, or that any data will be preserved without loss. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, Gridzy LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, loss of goodwill, or loss of profits, arising out of or relating to your use of Gridzy, whether based in contract, tort, or any other theory, and even if we have been advised that such damages are possible.

To the fullest extent permitted by law, our total liability for all claims relating to Gridzy will not exceed one hundred United States dollars (USD $100). Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Gridzy LLC from any claim, demand, loss, or expense, including reasonable attorneys' fees, arising out of your use of Gridzy, your content, your violation of these terms, or your violation of any law or the rights of another person.

14. Governing law and venue

These terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. You and Gridzy LLC agree that any dispute arising out of or relating to these terms or to Gridzy will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.

15. Changes to these terms

We may update these terms. When we do, we will post the new version on this page and update the effective date at the top. If a change is significant, we will make it clear rather than quietly swapping the text. Continuing to use Gridzy after a change means you accept the updated terms.

16. General

If any provision of these terms is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver of it. You may not transfer your rights under these terms without our consent, and we may transfer ours in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy, are the entire agreement between you and Gridzy LLC about the service.
